Terms of Service
EFFECTIVE 28 MAY 2026
Plain English first: This is the contract between you and ShowPilot. If anything below is unclear or you need a signed enterprise agreement, email pilot@showpilot.coand we’ll work it out.
1. Acceptance
These Terms of Service (the “Terms”) are a binding agreement between you (“you” or “Customer”) and ShowPilot, Inc. (“ShowPilot,” “we,” “us”). By creating an account, accessing the Service, or clicking a button that says you agree, you accept these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company.
2. The Service
ShowPilot is a software-as-a-service platform that helps live-event production teams run shows — ingesting documents, surfacing a unified dashboard, and providing a voice agent (“Hey Show”) for in-the-moment lookups. We may add, modify, or remove features at any time. We’ll give reasonable notice before deprecating anything you rely on.
3. Accounts
You’re responsible for everything that happens under your account. Keep your password safe, don’t share credentials, and tell us immediately at pilot@showpilot.co if you suspect unauthorized access. You must be at least 16 years old to create an account.
4. Acceptable Use
You agree not to:
- Use the Service to violate any law, regulation, or third-party right.
- Upload content you don’t have the right to upload, or content that’s infringing, defamatory, or unlawful.
- Attempt to bypass authentication, rate limits, or any other technical control.
- Reverse-engineer, decompile, or scrape the Service except where applicable law expressly permits it.
- Use the Service to build a competing product, or to train a machine-learning model that competes with ShowPilot.
- Send malware, run automated abuse, or use the Service to harm ShowPilot, other customers, or third parties.
We may suspend or terminate accounts that violate these rules, especially where there’s a security or safety risk.
5. Your Content
You retain ownership of all data, documents, prompts, transcripts, and other content you submit to the Service (“Customer Data”). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Data solely to provide and improve the Service for you and to meet our legal obligations.
We will not sell Customer Data and we will not use the substance of your Customer Data to train general-purpose AI models. Aggregated and de-identified statistics derived from usage (which cannot be tied back to you) may be used to operate and improve the Service.
6. AI Output
The Service uses large language models to generate summaries, suggested actions, voice responses, and other AI output. AI output can be incomplete, inaccurate, or out of date. You are responsible for reviewing AI output before acting on it, especially for any decision affecting health, safety, money, or legal compliance. The Service is a copilot — not a substitute for human production judgment.
7. Our Intellectual Property
The Service, including all software, design, documentation, and ShowPilot trademarks, is owned by ShowPilot or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. No other rights are granted by implication or otherwise. Feedback you provide may be used by ShowPilot without obligation to you.
8. Fees
Some features may require a paid subscription. Fees, billing cycles, and trial terms are stated at the time of purchase or in an order form signed by both parties. Fees are non-refundable except where required by law. You’re responsible for any taxes other than ShowPilot’s own income taxes.
9. Third-Party Services
The Service integrates with third-party services such as cloud infrastructure, AI model providers, and document storage. Your use of those services through ShowPilot is governed by their terms, in addition to these Terms. We’re not responsible for third-party outages, content, or actions beyond our reasonable control.
10. Privacy
Our handling of personal information is described in our Privacy Policy, which is part of these Terms.
11. Disclaimers
The service is provided “as is” and “as available,” without warranties of any kind, express or implied. To the maximum extent permitted by law, ShowPilot disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. ShowPilot does not warrant that the service will be uninterrupted, error-free, or secure, or that AI output will be accurate or fit for any particular use.
12. Limitation of Liability
To the maximum extent permitted by law, in no event will ShowPilot be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity, even if advised of the possibility. ShowPilot’s total aggregate liability under these terms will not exceed the greater of (a) the fees you paid in the twelve (12) months preceding the claim, or (b) one hundred US dollars (US$100).
13. Indemnification
You will defend, indemnify, and hold ShowPilot harmless from any claim, damages, or expense (including reasonable attorneys’ fees) arising out of your Customer Data, your breach of these Terms, or your violation of any law or third-party right.
14. Term and Termination
These Terms apply for as long as you have an account or use the Service. You may stop using the Service and request account deletion at any time. We may suspend or terminate your access if you breach these Terms or if continued provision would expose us or other customers to legal or security risk. Sections 4, 5, 7, 11, 12, 13, 15 and 16 survive termination.
15. Changes to the Terms
We may update these Terms from time to time. If we make a material change, we’ll post the new Terms here and update the effective date, and where reasonable we’ll notify you in-app or by email. Your continued use of the Service after a change means you accept the new Terms.
16. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising under these Terms, and each party submits to that jurisdiction. The UN Convention on Contracts for the International Sale of Goods does not apply.
17. Miscellaneous
These Terms (with the Privacy Policy and any order form) are the entire agreement between you and ShowPilot about the Service. If any provision is held unenforceable, the remaining provisions stay in effect. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets; you may not assign these Terms without our consent. Our failure to enforce a right is not a waiver.
